PROPOSAL
To The Polish Consortia
For the creation of The Consortium of The International Library Forum, From The International Library Forum

The Members of The Consortium called The Principal in the proposal, appoint The International Library Forum, who accepts as commercial Agent, to promote the sale of the Products published and produced by the Members of the Consortium of The International Library Forum.
The Agent agrees to use his best endeavours to promote the sale of the Products in accordance with the Principal’s reasonable instructions and shall protect the Principal’s interest with the diligence of a responsible businessman.
The Agent shall provide an adequate promotion for the Products ( at book fairs, bookshops visits, presentations, advertising, distribution )
The Principal shall provide the Agent with all necessary written and electronic support relating to the Products as well as with the information needed by the Agent for carrying out his obligations.
The Principal is entitled to deal directly or through its members with customers. In respect of any sales arising thereof The Agent shall be entitled to the commission for the Products.
The Agent is entitled to lump sum in amount of EURO4000.00 per year to cover the price of the stands at the book fairs and any expenses incurred in fulfilling his obligations ( such as telephones, mail, office, travel, insurance)
The Agent is entitled to a commission of 10% on all sales of the Products. The Commission shall be calculated in the currency of the sales.

The Agent shall acquire the right to appoint the prices to Products for the Territory of the United Kingdom.
The Products ( films, DVDs, printed publications, online content, etc.) created by the Consortium will acquire copyrights status under the Principal’s trademarks, trade name or symbols.
The Consortium has the possibility to include the Associate Members in the promotion conducted by The International Library Forum.
The Associate Members receive all the information sent to Members and have the right to attend the meetings but without a vote.
The fee for Associate Membership to be included in The ILFORUM promotion is EURO4000.00
Creation of
CONSORTIUM of THE INTERNATIONAL LIBRARY FORUM
The Consortium is a body gathering the Polish libraries governed by the established rules and procedures. It includes the network of interested academic institutions to share many projects.
The Consortium is established initially for 5 years.
The Consortium’s purpose is to facilitate the promotion of the members’ collections at the international book fairs and events.
The aim of the Consortium is a new production of existing materials with the individual copyrights status.
The Consortium’s financial year runs from 1 October to 30 September.
Partners ( or full members ) can be libraries or other institutions structured as a single organisations.
The Members of the Consortium elect a Board of Directors which meets at least once a year. The regular monitoring of the Consortium’s projects is delegated by the Executive Committee. The projects include production of films, DVDs, interdisciplinary content online and printed publications in translation.
The International Library Forum is the Associate Member of the Consortium. The Associate Members do not have the right to vote at the Consortium’s annual meetings.
The Consortium can expand to the international academic institutions for the period of production of new products like films but the ownership of the products stays with the Consortium.
The Consortium has a right to sell the shares in the new initiatives.
The Consortium’s new initiatives represent the shares of 100% , The International Library Forum’s amount of shares is 51% .
