UMOWY ART. 30. [MENADŻEROWIE
PROJEKTU]
§1. Wykonawca i NCBR wyznaczą menadżerów projektu odpowiedzialnych za koordynację sprawnego wykonania Umowy. Każdorazowo gdy Umowa przewiduje uzgodnienia
media on which it has been fixed, in particular electronic media (CDs, DVDs, so-called pen-drives, etc.) along with handing over the NCBR of a given medium, it passes free of charge on NCBR the ownership of this medium.
§8. The Contractor is not entitled to terminate the licenses referred to in §1 . In the event that the decision has been found to be contrary to generally applicable law, the Contractor undertakes not to terminate each license, and if the obligation in question was found to be contrary to generally applicable law or if, in spite of the above reservation, the Contractor would terminate any license in any scope, the Parties determine that the notice period will be 5 years with effect at the end of the calendar year.
However, if the above-mentioned 5-year period turns out to be contrary to applicable law, the Parties agree that the notice period will be 4 years with effect at the end of the calendar year.
If, in turn, the above-mentioned 4-year period is contrary to the provisions of law, the Parties agree that the notice period will be 3 years with effect at the end of the calendar year.
§9. At the NCBR's request, the Contractor undertakes, within 30 days, to conclude a contract or submit a declaration confirming the transfer of rights, granting licenses, permits, authorizations in the scope referred to in the Agreement.
CHAPTER VI. MANAGEMENT AND SUPERVISION OF AGREEMENT
PERFORMANCE ART. 30. [PROJECT MANAGERS]
§1. The Contractor and NCBR will appoint project managers responsible for coordinating the smooth performance of the Contract. Each time
pomiędzy NCBR a Wykonawcą, zostaną one przeprowadzone przez menadżerów projektu i przekazane do zatwierdzenia przez Strony.
§2. O ile menadżer projektu nie posiada odrębnego umocowania, nie jest on uprawniony do składania jakichkolwiek oświadczeń wiążących dla Strony.
§3. O wyborze i zmianie menadżera projektu Strony zawiadamiają się w formie elektronicznej, zgodnie z ART. 40.
§4. Niezależnie od innych postanowień Umowy, Strony ustalają, że menadżer projektu, pracownicy i inne osoby wyznaczone przez NCBR, będą mogły dokonywać wizyt w siedzibie Wykonawcy lub w miejscu w którym prowadzi Prace B+R, za zgodą i po uprzednim uzgodnieniu z Wykonawcą terminu, przedstawicieli NCBR i zakresu wizyty.
ART. 31. [R A PORTOWANIE POSTĘPÓW]
§1. Wykonawca jest zobowiązany do przekazywania NCBR raportów z postępu w wykonaniu Umowy, obejmujących informację o stanie realizacji kluczowych Prac B+R oraz informacje o wydatkach związanych z realizacją Prac B+R. Informacje o wydatkach, wskazane w zdaniu poprzedzającym, zawierają co najmniej:
1) szczegółowe zestawienie wydatków (tytuł, kontrahent, numer dokumentu księgowego, wartość);
2) przypisanie wydatków do poszczególnych Prac B+R wskazanych odpowiednio w Propozycji Prac w Fazie 2 albo Propozycji Prac w Fazie 3, 3) informację, czy dany wydatek był
finansowany ze środków publicznych lub środków pochodzących z Unii Europejskiej, innych niż uzyskane w ramach wynagrodzenia objętego Umową.
§2. Wykonawca jest zobowiązany do dokumentowania Prac B+R, w szczególności
the Agreement provides for arrangements between the NCBR and the Contractor, they will be carried out by the project managers and submitted for approval by the Parties.
§2. Unless the project manager has a separate authorization, s/he is not entitled to make any declarations binding on the Party.
§3. The Parties shall notify the selection and change of the project manager in electronic form, in accordance with ART. 40 .
§4. Notwithstanding other provisions of the Agreement, the Parties agree that the project manager, employees and other persons appointed by the NCBR, may make visits at the Contractor's premises or at the place where R&D Works are conducted, with the consent and after prior arrangement with the Contractor of the date, representatives of NCBR and scope of the visit.
ART. 31. [PROGRESS REPORTING]
§1. The Contractor is obliged to provide the NCBR with progress reports on the implementation of the Agreement, including information on the status of key R&D Works and information on expenditures related to the implementation of R&D Works. The information on expenses, indicated in the previous sentence, contains at least:
1) detailed statement of expenses (title, contractor, number of the accounting document, value);
2) assigning expenses to individual R&D Works indicated respectively in the Work Proposal in Phase 2 or Work Proposal in Phase 3, 3) information whether the expenditure was
financed from public funds or funds from the European Union, other than those obtained under the remuneration covered by the Agreement.
§2. The Contractor is obliged to document R&D Works, in particular in the field of R&D Works Results, by way of R&D Documentation.

§3. Wykonawca jest zobowiązany do przedstawienia na każde żądanie NCBR kopii dokumentów księgowych i ksiąg rachunkowych, w zakresie stanowiącym podstawę wyliczeń przedstawionych w Wynikach Prac Fazy. Wykonawca jest zobowiązany do przekazania NCBR kopii takich dokumentów, w terminie 7 dni od otrzymania stosownego wezwania.
§4. Raport jest przekazywany NCBR wyłącznie w ramach Fazy 2 i Fazy 3, w języku polskim w formie elektronicznej do 28 dnia co drugiego miesiąca za okres poprzedzających złożenie raportu dwóch miesięcy. NCBR dopuszcza przekazywanie raportów w języku angielskim, wraz z tłumaczeniem na język polski.
ART. 32. [KONTROLA]
§1. NCBR jest uprawnione w trakcie każdej Fazy do dokonania, w każdym czasie, kontroli wykonania Prac B+R przez Wykonawcę zgodnie z Umową i odpowiednio Propozycją Prac w Fazie 2 lub Propozycją Prac w Fazie 3, zarówno w siedzibie Wykonawcy jak i miejscu prowadzenia Prac B+R, niezależnie od tego czy dysponentem tego miejsca jest Wykonawca lub Podwykonawca. Kontrola obejmuje w szczególności weryfikację realizacji Prac B+R.
§2. W przypadku zamiaru skorzystania z uprawnienia wskazanego w §1 przez NCBR, NCBR zawiadomi Wykonawcę w formie pisemnej lub elektronicznej o planowanej kontroli z wyprzedzeniem wynoszącym co najmniej 5 Dni Roboczych.
§3. Kontrola obejmuje czynności takie jak: dostęp do dokumentacji związanej z realizacją Umowy, w tym Dokumentacją B+R i dokumentami roboczymi, które mają stać się Dokumentacją B+R, dokumentów księgowych i ksiąg rachunkowych w zakresie związanym z Pracami B+R, zapewnienie kontaktu z członkami Zespołu Projektowego, na każde
§3. The Contractor is obliged to provide copies of accounting documents and accounting books at any request of the NCBR, to the extent that is the basis for the calculations presented in the Results of Phase Works. The Contractor is obliged to provide NCBR with copies of such documents, within 7 days of receipt of the relevant request.
§4. The report is submitted to NCBR only within Phase 2 and Phase 3, in Polish in electronic form by the 28th day of every second month, for the period preceeding the submission of the two-month report. The NCBR allows the submission of reports in English, along with a translation into Polish.
ART. 32. [INSPECTION]
§1. The NCBR is entitled during each Phase to carry out, at any time, the inspection of performance of R&D Works by the Contractor in accordance with the Agreement and the Work Proposal in Phase 2 or Work Proposal in Phase 3, respectively, both at the Contractor's office and location where R&D Works are conducted, regardless of whether the owner of this place is the Contractor or Subcontractor. The Inspection includes in particular verification of the implementation of R&D Works.
§2. In case of the intention to exercise the right indicated in §1 by NCBR, NCBR will notify the Contractor in written or electronic form about the planned inspection in advance of at least 5 Business Days.
§3. The inspection covers activities such as: access to documentation related to the implementation of the Agreement, including R&D Documentation and working documents that are to become R&D Documents, accounting documents and accounting books in the scope related to R&D Works, ensuring contact with members of the

§4. Jeśli w przypadku kontroli konieczne jest przeprowadzenie szkolenia BHP lub wyposażenie osób kontrolujących w środki ochrony osobistej i strój ochronny, Wykonawca jest zobowiązany do zapewnienia na własny koszt zarówno szkolenia jak i wyposażenia osób kontrolujących.
